Presenti End User License Agreement

IMPORTANT: THIS IS A LICENSE, NOT A SALE.

This Presenti End User License Agreement (hereinafter referred to as the "Agreement" or "EULA") is a legal contract between the end user (hereinafter referred to as "You" or "Licensee") and Shenzhen Pixso Technology Co., Ltd. and its affiliated companies (collectively referred to as "Presenti.ai" or "Licensor"), the developer and owner of the program and software (hereinafter referred to as "Licensed Software").

PRIVACY COMPLIANCE: Presenti.ai's Privacy Policy explains how we collect and treat your data while protecting your privacy. By using our software and services, you agree that Presenti.ai can process such data in accordance with our Privacy Policy published on our website.

Please read this Agreement carefully. By installing, copying, accessing, or using the Licensed Software, you acknowledge that you have read, understood, and agreed to be bound by all terms, specifically Articles 2, 3, 14, and 15. If you disagree, please cease use and contact Presenti.ai immediately.

TERMS AND CONDITIONS:

1. LICENSED SOFTWARE

The "Licensed Software" includes the Presenti.ai platform, online editors, AI engines, documentation, fonts, built-in design assets, and any modified versions or updates provided by the Licensor.

2. GRANT OF THE LICENSE

2.1 License Scope

Subject to your compliance with this Agreement and payment of applicable license fees, Presenti.ai hereby grants you a limited, revocable, non-exclusive, and non-transferable license to use the Software. The specific scope (Personal vs. Commercial) is governed by your purchased subscription tier.

2.2 Commercial Use of Generated Content (The "Output")

Presenti.ai empowers users to create professional works. You are expressly authorized to use the presentations and documents generated through the software ("Output Files") for any legal commercial purpose, including but not limited to:

• Client proposals, sales pitches, and corporate reports;
• Teaching, paid webinars, and educational courses;
• Public speaking engagements and conference presentations;
• Selling the final customized PPT files as part of a professional service.

2.3 Prohibited Use of Source Templates (Software Assets)

The license granted in Section 2.2 does NOT include the right to redistribute the underlying software assets. You are strictly prohibited from:

• Extracting original templates, icons, or design elements from the Licensed Software to sell them as standalone digital assets or "PPT Templates";
• Bulk-downloading built-in content via automated means for the purpose of creating a competing template library or marketplace.

3. ADDITIONAL LICENSE RESTRICTIONS

3.1 Modification and Reverse Engineering

You shall not, and shall not permit others to, modify, adapt, translate, sublicense, rent, lease, or reverse engineer the source code or core functionality of the Licensed Software.

3.2 High-Risk Environment Restrictions

The Licensed Software is not authorized for use in high-risk environments such as nuclear facilities, life support systems, or aviation communication systems where software failure could result in death or environmental damage.

3.3 Unauthorized Distribution

You may not use the built-in software content in any way that allows third parties to extract or redistribute those specific assets as standalone files, outside of a completed presentation work.

4. INSTALLATION AND UPDATES

Licensee may install and use the software on allowed devices where they are the primary user. Presenti.ai may provide updates or content changes at its sole discretion. Receival of an update may be conditioned upon the termination of rights to use previous versions.

5. SOFTWARE IMPROVEMENT PROGRAM

Presenti.ai collects anonymous usage data to improve user experience. This data is processed statistically and will never be rented or sold to third parties for marketing purposes.

6. TERM AND TERMINATION

This license remains effective until terminated. Termination occurs automatically if you fail to comply with any terms. Upon termination, you must cease all use and destroy all copies of the software assets in your possession.

7. INTELLECTUAL PROPERTY OWNERSHIP

Presenti.ai and its licensors retain all ownership, trade secrets, and intellectual property rights. Except for the limited license granted herein, no other rights are transferred to the Licensee.

8. NO WARRANTY ("AS IS")

THE LICENSED SOFTWARE IS PROVIDED "AS IS." LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO PERFORMANCE AND ACCURACY LIES WITH THE LICENSEE.

9. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. THE AGGREGATE LIABILITY OF PRESENTI.AI SHALL BE LIMITED TO THE FEES ACTUALLY PAID BY THE LICENSEE FOR THE SOFTWARE.

10. INDEMNIFICATION

Licensee will indemnify and hold Licensor harmless from any claims, losses, or legal fees arising from the Licensee’s illegal or improper use of the Licensed Software or Output Files.

11. GOVERNING LAW AND DISPUTE RESOLUTION

All transactions are processed by our respective regional entities. This Agreement is governed by the Local Law of the jurisdiction indicated in your billing statement.
